Terms of Use

These Terms of Use and Privacy Policy are a public contract – a contract of public offer of Daxil Czech Payment s.r.o, located in the Czech Republic, city of Prague, Na Čečeličce 425/4, Smíchov, 15000 Prague 5. All its terms and conditions are the same for all users regardless of status and legal form. The Terms of Use and Privacy Policy apply to your access to and use of the https://daxil.com Website and/or all other Daxil  products and services (hereinafter referred to as “services”, “service”, “Daxil “, “we”, “us”, “our”). By downloading, using, browsing, submitting content or otherwise accessing and/or utilizing the service, User (hereinafter referred to as “you”, “you”, “you”, “your”) agrees to these Terms and Policies below. If you do not wish to agree to all of these Terms and Policies set forth herein, do not download our site and/or stop using our service. 

1. Minimum age

Use of the Site is available only to persons who have reached the age of majority in accordance with the laws of the country of residence and/or citizenship of which such person is a resident and/or citizen and who are capable of entering into legally binding contracts in accordance with applicable law. If you do not meet these requirements and/or you do not have the explicit approval of your parents and/or legal representative, please do not use the Daxil  Services. If you are a parent or legal representative of a child and you allow your child to use our site, these terms apply to you and you are responsible for your child’s actions on our service. Any further use of the Site and/or any portion of the Site means that you have read and understood the Terms of Use and Privacy Policy and agree to abide by all sections of the Terms of Use and Privacy Policy. 

2. Changes in conditions of use

The provisions of these Terms of Use and Privacy Policy are subject to change. Each time we make changes to this Privacy Policy and Terms of Use, we will post the new version on this page and indicate the date of the new version. Any changes to these Terms and Policy will be effective immediately upon posting. Your continued use of the Service after changes to these Terms and Policies constitutes your acceptance of those changes. If you do not wish to agree to any changes to these Terms and Policies, please stop using our Service immediately. These Terms and Policies will also govern any updates or new versions of a product that may replace and/or supplement, the Site. If an update or new version is not accompanied by Terms and Policies, these Terms and Policies will prevail. 

3. Terms and definitions

Daxil  Services – refers to various services provided to you that are based on internet and/or blockchain technologies and are offered through https://daxil.com, as well as other forms (including new ones that will be possible in the future, such as opening cryptocurrency accounts, depositing/transferring funds using banking methods, currency conversion. 

Digital currencies (crypto assets) are digital representations of value or rights that can be transferred and stored electronically using distributed ledger technology (DLT) or similar mechanisms. 

User – any natural or legal person who uses the services of Daxil . 

The administrator is Daxil Czech Payment s.r.o, located in the Czech Republic, city of Prague, Na Čečeličce 425/4, Smíchov, 15000 Prague 5. 

Administration – employees of the Administrator who manage the site https://daxil.com, perform technical, organizational and other functions of ensuring the functioning of Daxil  services, as well as providing information, consulting and other support. 

Content – images, text, audio and video materials, as well as other objects of copyright and (or) related rights, as well as information and messages of any nature available on the site. 

Authentication, verification – collection and confirmation of personal and other data in accordance with legal requirements. This procedure is conducted in accordance with applicable laws and regulations, including, but not limited to, anti-money laundering and counter-terrorist financing requirements, customer due diligence (CDD) standards and platform-specific policies. You may be required to provide additional documentation or undergo enhanced due diligence measures to ensure full compliance with regulatory requirements and platform obligations. 

KYC (Know Your Customer) is a set of procedures we are required to carry out to verify the identity of our customers, assess risk and check compliance. KYC helps to minimize risks. 

Payment system – Quicko sp. z o.o., the Administrator’s partner, which provides secure payments. 

4. Services

Executing crypto asset-related orders on behalf of clients – entering into agreements on behalf of clients to buy or sell one or more crypto assets or subscribe on behalf of clients for one or more crypto assets, and includes entering into agreements to sell crypto assets at the time they are offered for public offering or admitted to trading; 

• Crypto asset placement – the marketing of crypto assets to buyers on behalf of or for the account of the offeror or a related person; 

• Provision of crypto asset transfer services on behalf of clients – provision of services on transfer of crypto assets from one address or distributed ledger account to another on behalf of an individual or legal entity; 

• Accepting and transferring orders for crypto assets on behalf of customers – accepting an order from a person to buy or sell one or more crypto assets or to subscribe to one or more crypto assets and transferring that order to a third party for fulfillment; 

• Providing crypto asset advice – offering, providing or agreeing to provide personalized advice to a client, either at the client’s request or at the initiative of the crypto asset service provider providing the advice, on one or more transactions involving crypto assets or on the use of crypto asset services; 

• Providing crypto asset portfolio management services – managing portfolios in accordance with mandates provided by clients, on a discretionary basis for each individual client, where such portfolios include one or more crypto assets; 

• Providing storage and management of crypto assets on behalf of clients – storing or controlling on behalf of clients crypto assets or means of access to such crypto assets, where applicable, in the form of private cryptographic keys; 

• Exchange of crypto assets for cash – entering into agreements to buy and sell crypto assets with clients for cash using equity; 

• Exchanging crypto assets for another crypto asset – entering into agreements to buy and sell crypto assets with clients for other crypto assets using equity. 

You acknowledge and agree that the Services may be provided in accordance with applicable law through the use of affiliates and other Daxil  partners. 

By using the Services, You agree that Your data may be shared with Our affiliates or other partners as necessary to fulfill service requirements, comply with legal obligations, or support legitimate business purposes. 

Refusal to provide services 

Subject to Applicable Laws, We reserve the right to suspend, limit or terminate your access to any or all of our Services, including but not limited to: 

• if, in our reasonable opinion, we are required to do so under Applicable Laws or any court or other judicial authority to which we are subject in any jurisdiction; 

• if you reasonably suspect that you are violating these Terms or otherwise attempting to circumvent these Terms; 

• if there is a reasonable suspicion that the transaction is fraudulent; 

• If you have a reasonable suspicion that your user account has been compromised or that the Services are being used in a fraudulent or unauthorized manner; 

• Upon reasonable suspicion of money laundering, terrorist financing, fraud or any other financial crime; or 

• If you have a reasonable suspicion that you are engaging in any fraudulent or illegal activity. 

5. Registration process

There is no mandatory registration in our service, but it may be required to verify (SumSub) the User’s actions by entering the phone number, with further confirmation by SMS message and / or specifying the e-mail address E-mail with further confirmation-entry of the received password. 

Sending such information to us will be deemed to be your agreement to provide personal information for identity verification, if necessary, to fulfill KYC requirements to verify the identity of the User. 

Such information will be used to verify the identity of the User, to detect evidence of money laundering, terrorist financing, fraud and other financial crimes through our service or for other lawful purposes stated by us. We will collect, use and share such information in accordance with our Privacy Policy. In addition to providing such information, you agree to allow us to maintain a record of that information for a period of five (5) years after you send such information in accordance with global industry data retention standards. You also authorize us to conduct necessary investigations directly or through third parties to verify your identity or to protect you and/or us from financial crimes such as fraud. The information we need to verify your identity may include, but is not limited to, contact information, telephone number, government-issued identification, date of birth and other information. By providing the required information, you confirm that it is true and accurate. 

IMPORTANT: By clicking on the active “Submit for Consideration” button-function, you agree to all the terms and conditions set forth in this Offer, as well as the Policy on Processing and Storage of Personal Data.  

The date of acceptance of the offer by the User (the date of conclusion of the Agreement) shall be the date of sending the information on the Website https://daxil.com. 

6. Conditions and procedure for concluding the contract

The terms and conditions of the Agreement, namely: (exchange of funds, virtual assets, exchange commission, etc.), specified on the website https://daxil.com, and / or in the Appendix and / or in a personal message. 

7. Prohibited use of the website service

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, or access to the service, without express written permission from us. You agree not to upload, post, email or otherwise transmit any material containing software viruses or any other computer code, files or programs designed to interrupt, harm, damage, destroy or limit the functionality of any computer software or hardware or equipment directly or indirectly associated with the site. You agree not to interfere with the servers or networks underlying or connected to this site, or violate any procedures, policies or rules of the networks connected to the site. The Site may contain certain third party software, plug-ins or site interface (collectively, “Third Party Software”) that require separate Terms of Agreement. You agree not to impersonate or attempt to impersonate the administration, https://daxil.com service, an employee of the service, another user, or any other person or entity (including, but not limited to, the use of e-mail addresses or aliases associated with any of the foregoing). You agree not to transmit or cause to be sent any advertising or marketing materials without our prior written consent, including any “junk mail”, “chain letters”, “spam” or any other such solicitations. To use the services provided for personal use only. 

You agree that you will not violate any laws by using the Services. This includes any local, provincial, state, federal, national or international laws that may apply to you. You also agree that you will not use Daxil  to make payments, provide financial support or otherwise engage in any illegal activities, including but not limited to fraud, illegal gambling, money laundering, financing of terrorist activities and so on. In addition, you agree not to encourage or induce any third party to engage in any activity prohibited under this section. 

You acknowledge that you are fully aware of all applicable laws and technical limitations that are associated with the Services, as well as with blockchains based on the Proof of Work (PoW) and Proof of Share (PoS) consensus mechanisms. 

There may be additional risks involved in using the Services that are not anticipated or specified by us in these Terms. Therefore, before using the Services, we strongly recommend that you carefully assess whether your financial situation and attitude to risk are compatible with such use. For the avoidance of doubt and contrary to the generality of the “Disclaimer of Warranties” section of these Terms, you agree that Daxil  shall not be liable for any losses resulting from the risks in this section. 

8. Intellectual property rights

The aggregate of programs, data, trademarks, intellectual property, including copyright, and other objects used on our website are the intellectual property of its legal owners and are protected by intellectual property laws, as well as relevant international legal treaties and conventions. Any use of elements included in the site (symbols, text, graphic images, programs and other objects), except as permitted in this document, without permission is illegal and may lead to legal proceedings and civil, administrative and criminal liability, in accordance with the law. If you are the owner of a trademark or other intellectual property objects and believe that the materials posted on the site violate your rights, please write to us at the e-mail address: support@daxil.com . In your appeal, please provide the following information: 

• Identify yourself (name, correspondence address, e-mail); 

• describe the nature of the intellectual property infringement and identify the relevant intellectual property on our website.

The information provided on or through https://daxil.com is provided for general informational purposes only. We do not guarantee the accuracy, completeness or usefulness of this information. Your reliance on such information is solely at your own risk. We disclaim all responsibility and liability arising from the use of such material by you or any other user of the service, or any person who may be informed of its contents.

You may link to our site, provided that you do so fairly and lawfully and do not damage or take advantage of our reputation, but you must not link in such a way as to suggest any form of association or endorsement on our part without our express written consent. We have no control over the content of these sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. 11. limitation of liability

We will make all reasonable efforts for the proper operation of the https://daxil.com service, but will not be liable to the User or third parties for direct or indirect damages, including lost profits or lost data, damage to honor, dignity or business reputation, incurred in connection with the use of the https://daxil.com service, or inability to use it, or unauthorized access to the User’s communications by third parties, or inability to receive services, in particular in the following cases: 

(a) in the presence of technological failures of public communication channels or loss of access to the Internet – until such failures are eliminated or access is restored, respectively; 

(b) in case of breach of equipment security or malfunction of the equipment (personal computer, smartphone) used by the User to receive services on https://daxil.com. 

We will not be liable for any damages incurred by User due to User’s failure to read or timely read the terms and conditions set forth in this agreement. User agrees that the limitation of liability terms set forth above reflect a reasonable and fair allocation of risk. To avoid misinterpretation of the limitation of liability provisions, the parties expressly state that User will not be denied any legal rights or entitlements arising out of the contractual relationship between User and us. The parties shall be released from liability for delay or partial or total non-performance of their obligations under this Agreement if such non-performance is due to force majeure (Force Majeure) circumstances beyond the control of the parties and which cannot be overcome by reasonable means. 

12. disclaimer of warranties

The https://daxil.com Service is not your agent or advisor and has no fiduciary relationship or obligation to you in connection with any transactions or other decisions or actions taken by you using the Daxil  Service. The Services and materials are provided on an “as is” and “as available” basis. 

You also realize and understand that we cannot and do not guarantee or warrant that files available for downloading from the Internet or Web sites are free of viruses or other destructive code. It is your responsibility to implement sufficient procedures and checkpoints to meet your specific requirements for virus protection and data input and output accuracy, and to maintain facilities external to our site to recover any lost data. 

13. Disclosure of risk information

Cryptocurrencies are more volatile than most fiat currencies and other assets, and this unpredictability in their price can result in significant losses within a short period of time. We are not responsible for the cryptocurrency market and make no representations or warranties as to the real or perceived value of any cryptocurrencies or the quality, suitability, usefulness, accuracy or completeness of any data provided by us. You should therefore carefully consider whether owning cryptocurrencies is suitable for you in light of your financial situation. 

Cryptocurrencies are not money or legal tender, are not backed by any government or central banks and basically have no underlying assets, income stream or other source of value. 

Daxil  is not a bank or depository institution. Your Daxil  account is not a deposit or bank account. Your account and your cryptocurrencies are not covered by insurance against loss and are not subject to any deposit guarantee schemes, statutory deposit insurance protection or protection in other jurisdictions. 

The legal and regulatory status of cryptocurrencies is currently unsettled, varies from jurisdiction to jurisdiction and is subject to significant uncertainty. Legislative and regulatory changes or actions related to cryptocurrencies or blockchain technology at the domestic, international or supranational level may adversely affect or restrict, as applicable, the use, transfer, exchange and value of cryptocurrencies and the provision of our Services. 

The nature of cryptocurrencies may result in an increased risk of fraud or cyber-attacks, and any losses related to fraudulent or inadvertent transactions may not be recoverable. 

We do not provide investment advice, and information obtained from us should not be used as the basis for any decision to buy or exchange any cryptocurrency. 

You are responsible for determining whether use of any Services is lawful in your jurisdiction, and you must not use our Services if it is unlawful in your jurisdiction. If you are unsure of the legal regime, please seek independent legal advice. 

You understand and agree that you access our Services at your own risk. This section is not exhaustive and does not disclose all the risks associated with cryptocurrencies. You should therefore carefully consider whether such use is suitable for you in light of your circumstances and financial resources. You should be aware that you may lose the funds in your account entirely and that under certain market conditions it may be difficult or impossible for you to liquidate a position. 

14. Geographical limitations

The administrator of the https://daxil.com service is located in the Czech Republic. We make no representation that the site or any content is available outside the Czech Republic. Access to https://daxil.com may be illegal for certain persons or certain countries. If you download the site from outside the Czech Republic, this will be on your own initiative and you are responsible for compliance with local laws. 

15. Compensation for damages

You agree to defend Administrator, its affiliates, licensors and service providers, and its officers, directors, employees, contractors, agents, successors and assigns from any claims and liabilities, damages, judgments, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms of Use or your use of our service, including, but not limited to, any use of content, services other than those expressly authorized in these Terms of Use, or any use of our service, including, but not limited to, any use of the content, services, or other services. 

16. Dispute resolution

Any disputes shall be resolved exclusively through arbitration without compulsory attendance. Any legal action or proceeding arising out of or relating to these Terms of Use or the https://daxil.com service or related parties shall be brought exclusively in the Czech Republic, although we reserve the right to bring any action or proceeding against you, for breach of these Terms of Use, in your country of residence or any other relevant country. You waive any objection to the exercise of jurisdiction over you by such courts and to proceedings in such courts. 

We and you agree that you may only sue the other party on an individual basis. This means that: (a) neither of us may sue as a plaintiff or as one of the plaintiffs in a class, joint or representative action; (b) the arbitrator may not consolidate the claims of more than one person into a single action (or preside over the conduct of any joint, joint or representative action); and (c) the arbitrator’s decision on a claim by one claimant may be made only with respect to that claimant, not other claimants, and may not be used to resolve disputes by other claimants. 

17. Sanctions

You warrant that you (as an individual or representative of any legal entity) are not located in or are not a national of a country that is subject to applicable U.S. trade sanctions or embargoes (e.g., Cuba, Iran, North Korea, Sudan, Syria, or Crimea). You also warrant that you are not a person or organization on a relevant US, EU, UN sanctions list. If during the term of any agreement with Daxil  you fall under such a restriction, you agree to notify us within 24 hours and we shall be entitled to terminate any further obligations to you, immediately and without any further liability to you (but obligations to Daxil  not fulfilled by you shall survive). 

18. Taxation

User agrees to pay all of its taxes and fees arising from the use of the Daxil  Service, and such taxes shall be paid in accordance with the rules of User’s jurisdiction of residence. 

Daxil  shall not be liable for any breach by the User of its obligations to calculate and pay taxes and fees. 

19. Notifications and messages

You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, “Communications”) that we provide in connection with your use of the Services. Communications may include: 

(a) the terms of use and policies to which you agree, including updates to those agreements or policies; 

(b) transaction information, transaction and other activity history, transaction receipts, confirmations and any other information about our services or transaction information; 

(c) legal, regulatory and tax notices or statements that we may be required to provide to you; and 

(d) responses to claims or customer service inquiries made in connection with your issue and/ or the provision of services to you. 

Unless otherwise specified in these Terms, we will provide these Communications to you by posting them on the Site, sending them to you by email to the primary email address you have provided and/or through other electronic means of communication such as text messages or mobile push notifications, and you agree that such Communications will constitute sufficient notice of the subject matter contained therein.
